The Company reserves the right to modify these Terms and Conditions at any time, in accordance with applicable laws and regulations. Your continued use of the Company's products and services following any changes signifies your acceptance of the updated Terms and Conditions.

This Agreement embodies the entire understanding and agreement between the Customer and the Company and supersedes all prior negotiations, agreements, or understandings, whether written or oral.

Your access to and use of our website and purchase of any products is conditional upon your acceptance of and compliance with this Agreement. If you disagree with any part of these Terms and Conditions, you must cease the use of our website and services immediately.

 

1. USER REGISTERATION AND ACCOUNT

The use of certain features of the Company's website, including but not limited to purchasing products, may require the creation and maintenance of an account ("Account"). By registering for an Account, you represent and warrant that:

Compliance with Laws: You will comply with all applicable Australian laws, Asian laws, and other international laws relating to online conduct and acceptable content. You commit to use your Account only for lawful purposes and in accordance with these Terms and Conditions.

Business Use: If the Account is registered on behalf of a business entity, you represent that you have the authority to bind that entity to this Agreement.

Account Restrictions: The Company reserves the right to refuse service, terminate Accounts, or remove or edit content in its sole discretion, in compliance with the applicable legal framework, without any liability to you.

Data Protection: The registration and use of an Account shall be subject to the Company's Privacy and Data Protection policies, as detailed in Section 9 of this Agreement.

Export Compliance: You acknowledge that the products may be subject to export laws, regulations, and restrictions of Australia, Asian countries, or other international jurisdictions. You shall comply with all applicable export laws in the usage of products procured from the Company.

 

2. PRODUCTS AND SERVICES

Description and Availability: The Company offers a range of sports apparel products for sale to its Australian customers (the "Products"). While we endeavor to ensure that all product descriptions, images, and pricing information are accurate, errors may occur. If a product offered by the Company is not as described, your sole remedy is to return it in unused condition as per Section 7 of this Agreement.

Compliance with Regulations: All Products comply with relevant Australian standards, Asian manufacturing laws, and other applicable international regulations, including but not limited to quality, safety, and environmental standards.

Availability and Discontinuation: Products are subject to availability and the Company reserves the right to limit the quantity of Products that may be purchased by a Customer. The Company further reserves the right to discontinue any Product at any time without notice.

Changes and Modifications: The Company may make changes or modifications to Products and specifications at any time without prior notice, provided that such changes do not materially affect the quality or performance of the Products.

Third-party Products and Services: The Company may offer Products and services from third parties. The Company makes no representation or warranty regarding third-party Products and shall not be responsible or liable for any third-party Products or services.

Export and Import Compliance: Customers are responsible for complying with all applicable export and import laws and regulations of Australia, Asian countries, and any other relevant jurisdiction when purchasing and receiving Products.

Intellectual Property: All intellectual property rights related to the Products, including but not limited to trademarks, designs, logos, and patents, are the exclusive property of the Company or its licensors and are protected under Australian, Asian, and international intellectual property laws.

No Resale: Customers agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Products, without the express written permission of the Company.

Warranties and Representations: Unless otherwise expressly stated in writing, the Company disclaims all warranties, express or implied, regarding the Products, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

 

3. ORDERING PROCESS

The following provisions govern the ordering process for purchasing Products from the Company and must be adhered to by all Customers:

Order Placement: Customers may place orders for Products through the Company's online platform or other designated methods. By placing an order, you represent that you have the legal capacity to enter into binding contracts under Australian laws, and other applicable international laws.

Order Acceptance: All orders are subject to acceptance by the Company. An order shall not be deemed accepted until you receive a confirmation email or other written communication from the Company, indicating acceptance of the order. The Company reserves the right to reject any order at its sole discretion, without liability.

Payment: Payment for the Products must be made according to the methods specified in Section 5 of this Agreement. Your order will not be processed until payment has been successfully completed.

Product Information: It is your responsibility to ensure that the information provided for the ordered Products, such as size, color, and specifications, is accurate. The Company shall not be liable for errors in selection or customization of Products.

Quantity Limitations: The Company reserves the right to set limitations on the quantity of Products that may be ordered by a single Customer or shipped to a single address.

Export and Compliance: By placing an order, you acknowledge that the Products may be subject to export restrictions and that you will comply with all applicable laws and regulations concerning the export, import, and use of the Products in your jurisdiction.

Cancellation: The Company may allow order cancellation under certain conditions as defined by its policies. You acknowledge that some orders may not be cancellable once processed.

Changes to Orders: Any changes to orders must be communicated to the Company in writing and may be subject to approval by the Company.

Confirmation: Upon completion of the ordering process, you will receive a confirmation detailing the specifics of your order, including the total cost, expected delivery timeline, and other relevant information. It is your responsibility to review this confirmation and promptly notify the Company of any discrepancies.

Prices are subject to change at the Company's sole discretion without notice. However, such changes will not affect orders that have already been accepted.

Taxes and Duties: Prices are inclusive of Australian Goods and Services Tax (GST) but do not include any other taxes, duties, or charges that may be applicable under Australian or international laws. You are responsible for any other taxes, customs duties, or other charges that may be imposed by your jurisdiction.

Payment Methods: The Company accepts various methods of payment, as specified on the Company's website. By providing a payment method, you represent and warrant that you are authorized to use that payment method and that all information provided is accurate.

Payment Security: The Company employs reasonable security measures to protect the confidentiality of personal information, including payment information. However, the Company shall not be liable for any unauthorized access or use of your payment information.

Currency Conversion: If purchasing outside of Australia, currency conversion rates may apply, and your bank or credit card provider may charge you conversion fees. The Company is not responsible for any such fees or charges.

Invoices: An invoice detailing the Products purchased, prices, taxes, shipping, and other relevant information will be provided to you electronically or in a manner otherwise agreed upon.

Errors: In the event of an error in pricing, whether on the website or in an order confirmation, the Company reserves the right to correct such error and revise your order accordingly or cancel the order and refund any amount charged.

5. SHIPPING AND DELIVERY

Delivery Times: Delivery times provided by the Company are estimates only. While the Company endeavors to meet these timelines, it shall not be liable for any delays caused by factors beyond its control, including but not limited to customs delays, carrier delays, or force majeure events.

Shipping Charges: Shipping charges will be specified at the time of checkout and may vary depending on the shipping method chosen, destination, weight, and volume of the Products. Additional charges may apply for special handling or expedited shipping.

International Shipping: If applicable, international shipping will be subject to customs, duties, and taxes as governed by relevant Australian, Asian, and international laws. You are solely responsible for compliance with all import regulations and payment of all applicable fees and charges.

Delivery Address: You are responsible for providing a correct and complete delivery address. The Company shall not be liable for any loss, damage, or delay resulting from an incorrect or incomplete address.

Risk of Loss: Risk of loss or damage to the Products passes to you upon delivery to the carrier. Any claims for damaged or lost Products should be made directly to the carrier, in accordance with applicable laws.

Acceptance of Delivery: Upon delivery, you are responsible for inspecting the Products for any visible damage or discrepancies. Any issues must be reported to the Company within the time frame specified in the Company's policies, as governed by relevant consumer protection laws.

Failed Deliveries: In the event of failed delivery due to absence, refusal, or other reasons within your control, you may be responsible for additional shipping charges, including costs for return and redelivery.

Title Transfer: Title to the Products transfers to you upon full payment of the order and completion of delivery at the specified address.

Compliance with Laws: You agree to comply with all relevant shipping and import/export laws and regulations, including but not limited to customs requirements, labeling, and packaging standards.

 

6. RETURNS AND REFUNDS

Restocking Fees: The Company reserves the right to charge a restocking fee for returned Products, where permissible under applicable laws.
